Welcome to ProMentorMe LLC ("ProMentorMe," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website, platform, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

4. USER CONDUCT AND RESPONSIBILITIES

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

Violate any applicable local, state, national, or international law
Infringe upon the intellectual property rights of others
Harass, abuse, threaten, or intimidate other users
Impersonate any person or entity or misrepresent your affiliation
Transmit any viruses, malware, or harmful code
Attempt to gain unauthorized access to any portion of the Platform
Scrape, data mine, or use automated tools to collect information from the Platform
Post or transmit any content that is unlawful, defamatory, obscene, or offensive
Engage in any commercial activities without our express written permission
Interfere with or disrupt the Platform or servers connected to the Platform

4.2 Mentor and Mentee Responsibilities

Mentors agree to provide guidance in good faith, maintain professional boundaries, and respect confidentiality
Mentees agree to engage respectfully, be receptive to feedback, and take responsibility for their own decisions and actions
Both parties acknowledge that mentoring relationships are advisory in nature and do not create employment, partnership, or fiduciary relationships

5. PAYMENT TERMS

5.1 Fees and Billing

Certain features of the Platform may require payment of fees. All fees are:

Stated in U.S. Dollars unless otherwise specified
Non-refundable except as expressly stated in our refund policy
Subject to change with reasonable notice

5.2 Payment Processing

Payments are processed through third-party payment processors. You agree to provide accurate payment information and authorize us to charge applicable fees to your designated payment method. We do not store credit card information on our servers.

5.3 Subscription Services

If you purchase a subscription:

Your subscription will automatically renew unless you cancel before the renewal date
You will be charged the then-current subscription fee

6. INTELLECTUAL PROPERTY RIGHTS

6.1 ProMentorMe Content

All content on the Platform, including but not limited to text, graphics, logos, images, software, and compilation thereof (collectively, "ProMentorMe Content"), is the property of ProMentorMe LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes. You may not:

Reproduce, distribute, modify, or create derivative works from ProMentorMe Content
Remove any copyright, trademark, or proprietary notices
Use ProMentorMe Content for commercial purposes without written permission

6.2 User-Generated Content

You retain ownership of any content you submit to the Platform ("User Content"). By submitting User Content, you grant ProMentorMe a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and promoting the Platform.

You represent and warrant that:

You own or have the necessary rights to submit the User Content
Your User Content does not violate any third-party rights
Your User Content complies with these Terms

7. PRIVACY AND DATA PROTECTION

8. DISCLAIMERS AND LIMITATION OF LIABILITY

THE PLATFORM AND MENTORING SERVICES ARE PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. PROMENTORME DOES NOT PROVIDE PROFESSIONAL ADVICE, INCLUDING BUT NOT LIMITED TO LEGAL, FINANCIAL, MEDICAL, OR CAREER COUNSELING. ANY DECISIONS YOU MAKE BASED ON INFORMATION OR GUIDANCE RECEIVED THROUGH THE PLATFORM ARE YOUR SOLE RESPONSIBILITY.

8.2 Platform Availability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

The Platform will be uninterrupted, secure, or error-free
Defects will be corrected
The Platform is free of viruses or harmful components
Results obtained from using the Platform will be accurate or reliable

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMENTORME LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8.4 Third-Party Interactions

ProMentorMe is not responsible for the actions, content, or behavior of mentors, mentees, or other users. Any interactions between users occur at their own risk. We encourage users to exercise caution and good judgment in all interactions.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ProMentorMe LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your violation of these Terms
Your use or misuse of the Platform
Your User Content
Your violation of any third-party rights
Your violation of applicable laws or regulations

10. DISPUTE RESOLUTION

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the award may be entered in any court having jurisdiction.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

10.3 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

11. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Posting the updated Terms on the Platform with a new "Effective Date"
Sending an email notification to registered users
Displaying a prominent notice on the Platform

Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must discontinue use of the Platform.

12. TERMINATION

12.1 Your Right to Terminate

12.2 Our Right to Terminate

We may terminate or suspend your access to the Platform immediately, without prior notice, for any reason, including but not limited to:

Breach of these Terms
Fraudulent or illegal activity
Requests by law enforcement or government agencies
Extended periods of inactivity
Technical or security issues

12.3 Effect of Termination

Upon termination:

Your right to access and use the Platform will immediately cease
We may delete your account and all associated data
Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and dispute resolution

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProMentorMe regarding the Platform and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.5 No Agency Relationship

No agency, partnership, joint venture, or employment relationship is created between you and ProMentorMe as a result of these Terms or your use of the Platform.

13.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
